Terms of Service

These Terms of Service (“Terms”) are an agreement between you and Recoupa LLC (“Recoupa”, “we”, “us”), the company that makes Tandem. They cover the Tandem website, app, booking pages and related services (the “Service”).

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you use Tandem on behalf of a company, you confirm you are authorised to accept these Terms for it, and “you” includes that company. If you don't agree, please don't use the Service.

Tandem brings the calendars of several Google accounts into one agenda, flags conflicts between them, and provides booking links, one-off links and polls, cross-posting between your calendars and automations.

Tandem is in beta. That means:

• Features may change, be added or be removed, and some may not work perfectly.
• Access is by invitation while we grow, and we may limit or pause access.
• The Service is free during the beta.
• Beta members get the Pro plan free for at least 6 months. After that, paid plans will be introduced with advance notice (see section 7).

• You must be at least 16 years old and able to form a binding contract to use Tandem.
• You sign in with a one-time link sent to your email. Keep access to that email account secure: anyone who can read it can sign in as you.
• Give us accurate information, and tell us promptly if you think your account has been misused.
• You are responsible for activity under your account.

To use Tandem you connect one or more Google accounts. You may only connect accounts you are allowed to use this way, including under any rules set by your employer, client or organisation.

When you connect an account, you authorise Tandem to:

• read your calendar list, events and free/busy information, as described in the Privacy Policy;
• create events on your calendars for bookings, cross-post copies and reserve holds that you set up; and
• update and delete only the events Tandem created.

Tandem never edits or deletes events it did not create. You can disconnect an account in Tandem at any time, or revoke access at myaccount.google.com/permissions. Your use of Google services is also governed by Google's own terms.

“Your content” means the information you put into Tandem or that Tandem reads on your behalf: your calendar data, booking pages, questions, templates and the information your invitees submit. You keep all rights to your content. You give us permission to host, process and display it only as needed to provide and improve the Service for you, as described in the Privacy Policy.

When you use booking pages, one-off links, polls or automations, you are responsible for:

• having the right to collect the information you ask invitees for, and telling them how you will use it;
• the questions on your booking pages and the content of emails you set up;
• not asking invitees for sensitive information (such as health, financial or government ID details) through Tandem; and
• complying with privacy, anti-spam and other laws that apply to how you contact your invitees.

For invitee information, we act as your service provider and process it on your behalf to run the Service.

Don't use Tandem to:

• break the law or infringe anyone's rights, including privacy and intellectual property rights;
• send spam, phishing or unsolicited bulk messages, or harass anyone;
• impersonate anyone or misrepresent who you are on a booking page;
• connect calendars or collect information you aren't authorised to access;
• probe, scan or test the Service's security without our written permission (see our Security page for responsible disclosure);
• interfere with the Service, overload it, scrape it, or access it by automated means other than the features we provide; or
• copy, resell or reverse-engineer the Service, except where the law allows it.

We may remove content or suspend accounts that break these rules.

Tandem is free during the beta, and we don't collect payment details. We plan to offer a free plan and paid plans later. Before any paid plan applies to you, we will tell you the price and give you advance notice, and you can choose whether to continue. Nothing will be charged without your agreement.

When paid plans launch, their prices, billing periods, taxes and cancellation terms will be shown at checkout and form part of these Terms.

The Service, including its software, design, text, graphics and the Tandem name and logo, belongs to Recoupa and its licensors. We grant you a personal, non-exclusive, non-transferable, revocable licence to use the Service under these Terms. We reserve all rights not expressly granted.

If you send us ideas or feedback, you let us use them freely without any obligation to you. We appreciate it.

Tandem relies on third-party services, including Google (Calendar, Meet and account authorisation) and the infrastructure providers listed in our Privacy Policy. We aren't responsible for third-party services, and their availability, changes or outages may affect Tandem. If Google changes or withdraws access to its APIs, some features may stop working.

You can stop using Tandem at any time: disconnect your Google accounts and email hello@tandem.page to delete your account.

We may suspend or end your access if you break these Terms, if required by law, or if we stop offering the Service. Where reasonable, we will give you notice and a chance to export your data. Sections that by their nature should survive (such as content rights, disclaimers, limitation of liability, indemnity and governing law) continue after termination.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, ESPECIALLY DURING THE BETA. TO THE FULLEST EXTENT ALLOWED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

In plain English: we work hard to keep Tandem accurate and available, but we can't promise it will be uninterrupted or error-free. Calendar data syncs periodically, so your agenda, availability and conflict flags may briefly lag behind Google. Check Google Calendar for anything critical.

TO THE FULLEST EXTENT ALLOWED BY LAW, RECOUPA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, OR MISSED MEETINGS OR OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM AND US $100.

Some places don't allow these limits, so they may not all apply to you.

You agree to defend and indemnify Recoupa against claims, losses and costs (including reasonable legal fees) arising from your content, the information you collect from invitees, or your breach of these Terms or of the law.

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Before bringing a claim, please email us so we can try to resolve it informally. Any dispute that can't be resolved will be handled by the state or federal courts located in Los Angeles County, California, and you and Recoupa consent to their jurisdiction, unless the law where you live gives you the right to bring claims elsewhere.

We may update these Terms as Tandem evolves. We will change the “Last updated” date above and, for material changes, tell you by email or in the app before they take effect. If you keep using Tandem after changes take effect, you accept the new Terms.

These Terms and the Privacy Policy are the whole agreement between you and Recoupa about the Service. If any part is found unenforceable, the rest still applies. If we don't enforce a right, we haven't waived it. You may not transfer these Terms without our consent; we may transfer them as part of a merger, acquisition or sale of assets.
